METROPOLITAN DETROIT SKI COUNCIL,
INC.
Constitution
(Revised May, 1998)
ARTICLE 1. NAME
The name of this organization shall
be the Metropolitan Detroit Ski Council Incorporated,
Hereinafter referred to as the Council and/or the M.D.S.C.
ARTICLE 2. PURPOSE
The Council is organized to provide
the Ski Clubs of Metropolitan Detroit with the following:
1. Information and instruction
needed for the benefit of the clubs.
2. Cooperation with the United
States Ski Association, the National Ski Patrol and with all
other organizations having similar purpose as the Council.
3. To create, develop and maintain
interest in the sport of skiing, both racing and recreational.
4. To create opportunities for
cooperation between member clubs and all persons interested in
the sport.
5. To encourage and support the
formation of groups interested in the sport.
6. To establish and encourage
uniform amateur competition among member clubs and individual
skiers.
7. To promote all phases of safety
for all skiers. To promote adequate coverage at all Michigan Ski
areas by members of the National Ski Patrol.
ARTICLE 3. MEMBERSHIP
Section 1. Regular Membership in
the Council shall be open to any duly organized ski club in the
Metropolitan Detroit area and the National Ski Patrol.
Section 2. Associate Membership in
the Council shall be open to any duly organized ski club outside
a fifty (50) mile radius of downtown Detroit that expresses a
desire to participate in the activities of the M.D.S.C.
Section 3. An individual who has
been a member of an M.D.S.C. Ski Club for at least one year
shall be eligible for individual non-voting membership or
committee member of the Council.
Section 4. Individual businesses,
if ski related, or if non-ski related upon recommendation of the
Council President, shall be eligible for Business Membership in
the Council. A business member shall not have a vote, but may
serve on a committee of the Council.
Section 5. Racing Membership in the
Council shall be open to any duly organized racing club. A
Racing Club is defined as that which is organized solely for the
purpose of participating in organized racing through the MACC. A
Racing Club may not organize any trips but it's members may
participate in trips organized by other clubs.
Section 6. Each membership will
pledge itself to observe the constitution and by-laws of the
Council.
ARTICLE 4. APPLICATION OF MEMBERSHIP
Section 1. Application for Regular,
Associate, or Racing Membership shall be made in writing to the
Council Secretary and shall be signed by the President and
Secretary of the club making application. The application shall
be accompanied by the Constitution and By-Laws of the club, or
sufficient evidence of being an organized club must be presented
in lieu thereof.
Section 2. Application for
Individual Membership shall be made in writing to the Council
Secretary and shall include a statement certifying that the
individual is or has been a member of his/her Ski Club for at
least one year.
Section 3. Application for Business
Membership shall be made in writing to the Council Secretary and
shall be signed by a duly authorized representative of the
organization.
Section 4. The Council Secretary,
upon receipt of an application for Council membership, shall
communicate with the various clubs and ascertain if there are
any objection or reasons why such application should not be
approved. The final decision for approval or disapproval of
membership shall be a majority vote at the next regular meeting
of the Council.
Section 5. The following Ski Clubs
are charter members of the M.D.S.C.: A.Y.H. Ski Club (American
Youth Hostels), Briar Hill Ski Club, Chrysler Ski Club, Detroit
Ski Club, D.G.B. Ski Club, DTE Ski Club (formally the Detroit
Edison Ski Club), Ford Ski Club, Ford-Canada Ski Club,
Parke-Davis Ski Club, Motor City Ski Club, Ski-Angels Ski Club,
Sno-Boes Ski Club, U of D Ski Club, Viking Ski Club, Wayne
University Ski Club.
ARTICLE 5. WITHDRAWAL
Any member of the Council may
withdraw by written notification to the Council Secretary.
ARTICLE 6. EXPULSION
Section 1. A member may be expelled
from the Council by a two-thirds (2/3) vote of a quorum if that
member has failed to guide itself by either the Council
Constitution and By-Laws, or in a manner not in conformity with
the best interest and ideals of the Council.
Section 2. In these cases, the
Council Secretary shall notify the member of the charges made
against it. Every opportunity shall be given that member to
clear itself or to prove to the Council that such conduct shall
not be repeated. The Secretary of the Council shall notify all
member clubs of the fact available in the case and allow the
membership of the Council sufficient time to give full
consideration to the case before it is brought to a vote.
ARTICLE 7. GOVERNMENT
Section 1. The government and
affairs of the Council shall be vested in a Board of Delegates,
which shall consist of one individual representing each club.
Each club shall appoint its Council delegate. The National Ski
Patrol shall be allowed a delegate and shall be accorded the
same voting rights as a member club.
Section 2. The term of each
delegate shall rest with its individual club. Each club shall
elect one (1) permanent delegate and one (1) alternate delegate.
In order to insure full representation at each Council meeting
in the absence of the regular delegate, the alternate or
President may speak.
Section 3. The Board of Delegates
shall annually elect from those eligible, a President, Vice
President Administration, Vice President Activities, Secretary
and Treasurer. These officers may not serve more than three (3)
consecutive terms. The officers shall perform such duties of
their respective offices as outlined in the Constitution and
offices as outlined in the Constitution and By-Laws of the
Council. They shall have no voice in the election of their
successors.
Section 4. The election of officers
of the Council shall be at a time designated in the By-Laws.
Section 5. A majority of the Board
of Delegates shall constitute a quorum. All business shall be
decided by a majority vote unless otherwise stated. Proxy votes
shall not be allowed. Each member club shall be allowed one (1)
vote.
ARTICLE 8. MEETINGS
Section 1. Regular meetings of the
Council shall be held at least once a month.
Section 2. Meetings will be
conducted according to Parliamentary Procedure, insofar as
presentations, motions, elections and adjournments are
concerned.
Section 3. All delegates shall be
notified in writing prior to the election of officers and
Constitution and By-Laws revisions or supplements.
Section 4. An attendance register
shall be provided at each regular meeting, and shall be signed
by all persons present. The register will be kept by the
Secretary and will be considered the property of the Council.
Section 5. Prior to the beginning
of regular business, the Secretary will hold a roll call to
determine which clubs are present and whether a quorum is
available. A delegate, alternate or club President may speak for
the club.
ARTICLE 9. TRAVELING EXPENSES
Expenses will be provided by the
Council Treasurer to authorized representatives of the Council
incurred while on recognized Council business.
ARTICLE 10. OFFICE EXPENSES
At the beginning of each business
year, the Council shall advance funds to the Council Secretary
for office expenses. The Secretary shall make an account of the
money spent at the close of each business year, and return funds
not used to the Treasury of the Council.
ARTICLE 11. CONSTITUTION AND BY-LAW CHANGES
Proposed changes to the Constitution
or its By-Laws can be initiated by a delegate. Changes shall be
presented in writing to the membership on a petition as they
would appear in the Constitution or By-Laws if approved. A
minimum of two meetings shall be allowed for discussion before
the proposal can be brought to a vote. After two-thirds (2/3) of
the Board of Delegates have approved this petition, the change
will become effective at the next regular business meeting.
ARTICLE 12. DISSOLUTION
The Council may dissolve by a
referendum which shall require a two-thirds (2/3) vote of all
delegates. Notice of dissolution shall be presented to the Board
of Delegates thirty (30) days prior to the date set for the vote
of dissolution. In the event of dissolution, the disposal of
Council funds shall be with and be vested in the existing Board
of Delegates.
ARTICLE 13. LIABILITY
No member club shall be liable to
the Council for any assessment. The member clubs shall not be
liable for action taken by the Council.
